Chinese Culture University Principle for Managing Trade Secrets of Research and Development Achievements

Article 1          Objectives

The present Principle for Managing Trade Secrets of Research and Development Achievements (“the present Principle”) is prescribed by the Chinese Culture University (“the University”) to safeguard and properly manage and utilize technological research and development achievements (R&D achievements) of the University, and to ensure that operating procedures for confidentiality are implemented with respect to research of which the R&D achievements are expected to provide business opportunities and have market potentials once produced.

Article 2          Definitions

For the purpose of the present Principle, a trade secret refers to a method, a technique, a manufacturing process, a formula, a design, or other information applicable in production, sales, or business operations and complying with any one of the following criteria:

  • a matter not commonly known by a person involved in the pertinent type of information;
  • a matter having actual or potential economic values due to its secrecy;
  • research technical information for which protection cannot be applied by means of disclosure, including research logbooks and know-how documents, research reports, and contracts related to R&D outputs, technology introductions, and technology transfers; and,
  • a matter for which appropriate confidentiality measures have been adopted by the University.

Article 3          Competent Office

  • The Management Committee of R&D Achievements and Technology Transfers (“the Research Management Committee”) of the University shall recommend 3-5 committee members to compose a Review Group in charge of the substantive review of trade secrets, and a first-level supervisor of the Office of Research and Development shall designate a staff member to be in charge of the execution of confidentiality procedures and the safekeeping of the original copies of confidential documents, duplicate copies shall be kept safe for use at corresponding trade secret-producing units, and the Office of Research and Development may from time to time dispatch a staff member to inspect the state of safekeeping of the duplicate copies, thus preventing information leakage.
  • Confidentiality measures shall be adopted for the substantive review of trade secrets of R&D achievements of the University, the review committee members and executive staff must sign a declaration of confidentiality.

Article 4          Confidential Document Handling Procedures

  • Documents that are determined by the Trade Secret Review Group to be trade secrets, such as drawings, contracts, technical information, and relevant documents, shall be marked by a confidential stamp with red ink and shall be transferred in the form of a sealed document.
  • Confidential documents shall be listed in an inventory, stored in a dedicated space, and locked for safekeeping.
  • The borrowing and photocopying of confidential documents must be signed off by executive staff for trade secrets of respective offices, and approved by a first-level supervisor of the pertinent office and by the Dean for Research and Development; photocopied information, once the purpose thereof is fulfilled, shall be destroyed collectively by the executive staff for trade secrets.
  • The declassification of a confidential document shall be applied by the owner of the corresponding R&D achievement; and, only upon approval by a first-level supervisor of the pertinent office and by the Dean for Research and Development may the declassification be allowed.

Article 5

The present Principle and any amendment thereto shall be implemented upon being adopted by the Management Committee for Research and Development Achievements and Technology Transfers.
